Article 1
general provisions
1.1. National Choreography Center "Ge Art" is a non-profit (non-commercial) legal entity established in accordance with the Civil Code of Georgia.
1.2. The entity is considered to have originated from the moment of registration in the register of entrepreneurs and non-entrepreneurial (non-commercial) legal entities.
1.3. Name of the community: National Choreography Center "Ge Art"
(English National Choreography Center "GE Art", abbreviated NCC "GE Art").
Legal form - non-profit (non-commercial) legal entity

1.7. A non-profit (non-commercial) legal entity is independent of the status of its member (s), as well as a person (persons) with management and representative authority. The liability of a non-profit (non-commercial) legal entity is limited to its property. The members of the non-profit (non-commercial) legal entity are not liable for its obligations, as well as the person (persons) with its management and representative authority. Nor is the non-profit (non-commercial) legal entity liable for the obligations of its members, as well as of its management and representative person (s).
1.8. Objectives of the community activities:
The mission of the organization is to promote and research the development of national choreographic performing arts.
goals:
Promoting the development of a choreographic community based on science and creative knowledge in Georgia;
Formation of non-formal choreographic art education with two main orientations - performing / creative and scientific-research activities;
Implementation of professional development, professional training and retraining courses, trainings, seminars, conferences, master classes, workshops and other activities locally and internationally;
Implementation of scientific-research programs and surveys / researches focused on the development of the field;
Project development;
Activation and development of scientific-research activities in the field (popularization and promotion / organization of books, researches, information, methodological brochures, their translation and other publications, including in electronic format;
Popularization of art-creative choreographic education, information-cognitive activity;
Joint activities with individuals or legal entities / organizations for the development of choreographic art education and science.
1.9. A non-profit (non-commercial) legal entity is entitled to engage in ancillary entrepreneurial activities, the profits of which must be used to achieve the goals of a non-profit (non-commercial) legal entity. The distribution of profits from such activities among the founders, members, donors, as well as persons with management and representative powers of a non-profit (non-commercial) legal entity is not allowed.
1.10. Property owned by a non-profit (non-commercial) legal entity may be alienated if the alienation serves the activities of the non-profit (non-commercial) legal entity, its organizational development, promotes its goals or serves charitable purposes.
Article 2
Founder of the Society
2.1. The founder of the society is:

Community management
3.1. The person with the highest management of the society is the founder of the organization:
A) the founder formulates the strategic direction, mission, goals and objectives of the organization based on national values;
B) manages the organization;
C) makes decisions based on the mission and tasks of the organization;
D) elects and appoints the General Director by personal decision;
E) appoints other employees of the organization;
F) dismisses the General Director and other employees of the organization on the basis of personal request or non-fulfillment of duties imposed on them;
G) invites specialists in the field and other necessary human resources for activities (projects) focused on the fulfillment of the goals of the organization and concludes contracts with them;
H) liaises with the executive and legislative authorities of Georgia, as well as with local and international professional organizations.
3.2 General Director:
A) is accountable to the founder;
B) manages the organization;
C) Makes decisions in agreement with the founder based on the mission and tasks of the organization;
D) for activities (projects) focused on fulfilling the goals of the organization, recommends cooperation with specialists in the field;
E) Based on the objectives and duration of the projects developed by the organization, distributes the functions of the invited staff, the intensity of the meetings;
F) evaluates, responds and concludes on project activities;
G) Communicates effectively with all persons involved in projects;
H) submits proposals to the founder of the organization in terms of settling and resolving certain issues;
I) liaises with the executive and legislative authorities of Georgia, as well as with local and international professional organizations for the purposes of the organization;
J) performs his / her duties on the basis of the personal application of the founder of the organization or his / her absence.
3.3. The founder of the organization, on the recommendation of the General Director, invites specialists and other necessary human resources who can participate in the activities of the Center by contract for goal-oriented activities (projects); Their rights and responsibilities will be more specifically described in the employment contract based on the project mission.
Article 4
Community leadership / representation
4.1 The head of a non-profit (non-commercial) legal entity - the National Choreography Center "Ge Art" - is the founder, who is also the General Director of the organization:

The term of office of the founder is indefinite.
The manager of a non-profit (non-commercial) legal entity makes a decision individually, taking into account the mission, goals and objectives of the organization.
4.2. The person authorized to represent the head of the organization is the Founder - General Director.
Article 5
Rights and responsibilities of the founders / members
The founder of the organization is one person who holds the position of General Director.
A) the founder formulates the strategic direction, mission, goals and objectives of the organization based on national values;
B) manages the organization;
C) makes decisions based on the mission and tasks of the organization;
D) elects and appoints the General Director by personal decision;
E) appoints other employees of the organization;
F) dismisses the General Director and other employees of the organization on the basis of personal request or non-fulfillment of duties assigned to them;
G) invites specialists in the field and other necessary human resources for activities (projects) focused on the fulfillment of the goals of the organization, enters into contracts with them;
H) liaises with the executive and legislative authorities of Georgia, as well as with local and international professional organizations.
The organization is not based on membership.
Article 6
Liquidation / reorganization of the society
6.1. Reorganization and liquidation of a non-profit (non-commercial) legal entity shall be carried out in accordance with the rules established by the legislation of Georgia.
6.2. The decision on reorganization and liquidation of a non-profit (non-commercial) legal entity is made by the founder.
6.3. During the liquidation, the current cases should be completed, the claims should be determined, the remaining property should be expressed in money, the creditors should be satisfied and the remaining property should be distributed to the authorized persons.
6.4. The decision to start the liquidation process of the company must be registered in the register of entrepreneurs and non-entrepreneurial (non-commercial) legal entities. The liquidation process is considered to have started from the moment of its registration.
6.5. The persons authorized to receive the property remaining as a result of the liquidation are determined by the founder of the non-profit (non-commercial) legal entity. In case of liquidation of a non-profit (non-commercial) legal entity, the property may be alienated if:
A) the alienation promotes the realization of the goals set by it;
B) serves charitable purposes;
C) the property is transferred to another non-profit (non-commercial) legal entity.
6.6. It is prohibited to distribute the property remaining as a result of liquidation among the founders, members, management and representatives of a non-profit (non-commercial) legal entity.
6.7. If the founder of a non-profit (non-commercial) legal entity has not determined the person entitled to receive the property remaining as a result of liquidation, the court shall transfer the property remaining as a result of the liquidation of the non-profit (non-commercial) legal entity to one or more non-profit Non-profit (non-commercial) legal entity. If such organizations do not exist or it is impossible to identify such organizations, then a decision may be made to transfer this property to the State. The court may distribute the property 6 months after the registration of the commencement of the liquidation process.
6.8. Liquidation is carried out by a person (persons) with the authority of management or a liquidator appointed in accordance with the rules established by law. The liquidator is liable as a person with leadership and representative authority.
Article 7
Final Provisions
7.1. This charter (Founders / Members Agreement) enters into force upon signature by all founders / members.
7.2. If any provision of this Charter (Founders / Members Agreement) has been declared invalid, it will not affect the validity of the other provisions of the Charter.
7.3 In the event of any inconsistency between this Charter and the current legislation of Georgia, the law shall prevail.
